Terms of service
The rules for using Orvanta HRMS, written to be read.
1Agreement and acceptance
These Terms govern your use of Orvanta HRMS (the "Service"). By creating an account, ticking the acceptance box or using the Service you agree to them on behalf of yourself and the company you represent, and confirm you have authority to bind that company. If you do not agree, do not use the Service. We record the version of these Terms and the time you accepted. Our Privacy Policy, including its processor terms, forms part of this agreement.
2The Service
Orvanta provides tools for employee records, attendance, leave, payroll, tax calculation, payslips, reports, and related HR work, with separate workspaces for each company. We may improve, change or retire features; for material reductions we give reasonable notice.
3Accounts and roles
- The first user of a company becomes its Super Admin and controls everything inside that company: tax rules, formulas, payroll currency, which roles exist and who holds them.
- Keep sign-in details and your authenticator app private. You are responsible for activity under your accounts and for removing access promptly when people leave.
- Super Admin accounts must use two-step verification.
- Company names and certain identity details are locked after sign-up; changes go through us.
- Tell us promptly if you suspect unauthorised access.
4Platform support access
You agree that Orvanta platform administrators may access your account and data where needed to provide support, recover access, restore a backup, correct a fault, enforce these Terms or protect security. Access is limited to the task, requires a recorded reason, and is shown in your activity record. Changes to rules are snapshotted first and disclosed to you. This does not give us any right to use your data for our own purposes.
5Your data and responsibilities
You own your data. You grant us a limited licence to host, process, back up and display it solely to provide the Service. You are responsible for: the accuracy and legality of what you enter; having the right to process your employees' data and telling them how it is used; configuring roles correctly; and checking payslips, reports and filings before paying or submitting them.
6Payroll, tax and legal disclaimer
Built-in tax packs, slabs, contribution rates, formulas and examples are configurable starting points. They are not tax, legal, accounting or HR advice. Rates and rules change; you must verify them against your tax authority and local law, and review every calculation. Formulas and rules you write or edit are your responsibility. The Service calculates from the data and rules you provide and cannot detect every error in them. Payroll currency and exchange rates are chosen and maintained by you.
7Acceptable use
You must not: break the law; access another client's data; probe, scan, overload or bypass the Service's security; upload malicious code; scrape or reverse engineer the Service; resell or white-label it without written permission; use it to harass or unlawfully discriminate against people; or enter data you have no right to process. We may suspend access to stop misuse, with notice where practical.
8Plans, fees and trials
Trials and paid plans are described on your plan page. Fees, taxes, billing periods and renewals are shown before you commit. Unless stated otherwise fees are non-refundable except where the law requires. We will give notice before a trial ends so you can export your data. Late payment may lead to suspension after notice.
9Availability, backups and support
We aim for high availability but do not promise uninterrupted service. Maintenance may briefly slow or pause the Service; we show a notice when we can. We take regular backups, but you should also export your own copies of important records. Support is provided by email and in-app requests during reasonable business hours.
10Intellectual property
We and our licensors own the Service, its software, design and brand. These Terms give you a limited, non-exclusive, non-transferable right to use it during your subscription. Feedback you give may be used by us without obligation. Your data and your company's logo remain yours.
11Confidentiality
Each party will protect the other's non-public information with reasonable care and use it only for this agreement, except where disclosure is required by law.
12Warranty disclaimer
To the extent the law allows, the Service is provided "as is" and "as available", without warranties of merchantability, fitness for a particular purpose or non-infringement.
13Limitation of liability
To the extent the law allows, we are not liable for indirect, incidental or consequential loss, lost profits or data loss, or for penalties, interest or errors resulting from incorrect data, settings, rules or formulas entered or approved by users. Our total liability for any claim is limited to the fees you paid in the 12 months before the claim. Nothing here limits liability that cannot be limited by law, such as for fraud or wilful misconduct.
14Indemnity
You will defend and indemnify us against third-party claims arising from data you entered without the right to do so, or your breach of these Terms or misuse of the Service, to the extent the law permits.
15Suspension and termination
You may stop using the Service and ask for export or deletion at any time. We may suspend or end an account for material breach, non-payment or security risk, giving notice and a chance to export your data unless the law or an urgent security need prevents it. On termination, data is returned or deleted as the Privacy Policy describes. Sections that by nature should survive (ownership, disclaimers, liability, governing law) do.
16Changes to these Terms
We may update these Terms. For material changes we notify the Super Admin by email and in the Service at least 14 days before they apply, and you may be asked to accept the new version. If you do not agree you may close your account before the change applies.
17Governing law and disputes
These Terms are governed by the laws of Pakistan. The competent courts there have jurisdiction, subject to any mandatory rights you have under the law of your own country. We will first try to resolve any dispute in good faith by written notice and discussion for 30 days.
18General
If a part of these Terms is unenforceable the rest stays in force. Failure to enforce a right is not a waiver. You may not assign these Terms without our consent; we may assign them with the business. Neither party is liable for delay caused by events beyond its reasonable control. These Terms and the Privacy Policy are the whole agreement for the Service.
